This Agreement is between Referral Key,
Inc. and you, the user. In order to become a Referral Key
member, you must read and accept all the terms and conditions
of this agreement and the Privacy
Policy. If you do not agree with the terms of this Agreement,
you may not use or access our services. Referral Key reserves
the right to change this Agreement without prior notice,
by posting amended terms on this website.
Referral Key is a members only, online service, which helps
business professionals send, receive and track qualified
referral leads.
You must be 18 years or older to use Referral Key. Membership
may not be sold, assigned or transferred to any other person
or entity. You are responsible for maintaining the confidentiality
of your password and are fully responsible for all activities
that occur under your password or account with or without
your knowledge. Members must promptly inform Referral Key
of the following: changes in the expiration date of any
credit card used in connection with the Service; changes
in home or billing address; and apparent breaches of security,
such as loss, theft, or unauthorized disclosure or use of
an ID or password. Until Referral Key is notified, by e-mail
at info@referralkey.com
of a breach in security, the Member will remain liable for
any unauthorized use of referralkey.com.
Members are responsible for providing all
personal computer and communications equipment necessary
to gain access to referralkey.com Access to and use of referralkey.com
is through a combination of an ID and a password. Each Member
must keep their username and password strictly confidential.
For security reasons, Referral Key will not release passwords
or website content for any reason, except as may be specifically
required by law or court order. Unauthorized access to the
Service is a breach of this Agreement and a violation of
law.
You agree to register details about yourself
that are true and that you will never impersonate any person
or entity. It is understood that all information posted
publicly or privately transmitted thru referralkey.com is
the sole responsibility of the individual from which content
originated. You expressly understand and agree that Referral
Key shall not be liable to you for any direct or indirect
use of the Referral Key website or services, including without
limitation any failure of performance, error, omission,
interruption, deletion, defect, delay in operation or transmission,
communications line failure, theft or destruction or unauthorized
access to, alteration of, or use of records, whether for
breach of contract, negligence, or under any other cause
or action. Furthermore, it is understood that Referral Key
cannot guarantee the identity of any other user or the authenticity
of any data which users may supply.
Membership of Referral Key may be terminated at any time,
and without cause, by either Referral Key or the member
upon notification of the other by electronic or conventional
mail. Referral Key will not disclose any membership contact
details or content to any member who has terminated their
membership or had their membership revoked by Referral Key.
When a member requests termination or Referral Key revokes
membership, we will remove your name and other personally
identifiable information from public viewing. Referral Key
reserves the right to deny in its sole discretion any user
access to the Referral Key website, specific areas of the
website or functionality or features of the website and/or
revoke membership without notice at its sole discretion.
Referral Key is for your personal and non-commercial use.
You may not copy, replicate, modify, distribute, display,
perform, create derivative works from, transfer or sell
any information, software, products or services obtained
from referralkey.com whether printed, visual, audio, radio,
electronic, email forwarding, TV, satellite, digital transmission,
scanned, website re-cycled or any other form of material
except where expressly noted that the material is available
for such purpose.
As a condition of your use of this Web site, you warrant
to Referral Key that you will not use this Web site for
any purpose that is unlawful or prohibited by these Terms
of Use.
Referral Key has three membership tiers:
- Basic – Basic membership is FREE until you receive three (3) leads through Referral Key. When you receive your fourth lead, you will be asked to upgrade your membership to either Silver Key or Gold Key.
- Silver Key - $9.95 per month
- Gold Key - $19.95 per month.

of, add to, or discontinue the Referral Key service or any
portion thereof without prior notice.
When you downgrade or cancel your account, no refunds will be issued. When you upgrade from Basic to Gold Key, you will be charged for the price difference pro-rated by the remaining time in your billing cycle (unless there are fewer than three days left, in which case there is no additional charge for the remaining days in your current billing cycle).
Referral Key and the Referral Key logo are trademarks of
Referral Key, Inc. You agree not to display or use these
trademarks in any manner without Referral Key’s prior,
written permission.
By accepting this Terms of Use Agreement, you agree to indemnify
and otherwise hold harmless Referral Key, Inc., its officers,
employees, agents, subsidiaries, affiliates and other partners
from any direct, indirect, incidental, special, consequential
or exemplary damages resulting from i) your use of the Referral
Key Service; ii) unauthorized access to or alteration of
your communications with or through the Referral Key Service,
or iii) any other matter relating to the Referral Key Service.
Any business transactions which may arise between users
from their use of Referral Key are the sole responsibility
of the users involved.
Without limitation of the terms and conditions
set forth in our Privacy Policy, you understand and agree
that Referral Key may disclose personally identifiable information
if required to do so by law or in the good faith belief
that such disclosure is reasonably necessary to comply with
legal process, enforce this Terms of Use Agreement, or protect
the rights, property, or safety of Referral Key, its users,
and the public.
YOU UNDERSTAND AND AGREE THAT THE REFERRAL KEY SERVICE IS
PROVIDED ON AN “AS IS” AND “AS AVAILABLE”
BASIS AND THAT REFERRAL KEY DOES NOT ASSUME ANY RESPONSIBILITY
FOR PROMPT OR PROPER DELIVERY, OR RETENTION OF ANY USER
INFORMATION OR COMMUNICATIONS BETWEEN USERS. REFERRAL KEY
ASSUMES NO RESPONSIBILITY FOR THE ACCURACY OR EXISTENCE
OF ANY COMMUNICATIONS BETWEEN USERS. REFERRAL KEY EXPRESSLY
DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR
IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES
OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND
NON-INFRINGEMENT.
REFERRAL KEY MAKES NO WARRANTY THAT (i)
THE REFERRAL KEY SERVICE WILL MEET YOUR REQUIREMENTS, (ii)
THE REFRRAL KEY SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE,
OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM
USE OF THE REFERRAL KEY SERVICE WILL BE ACCURATE OR RELIABLE,
(iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION,
OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE
REFERRAL KEY SERVICE WILL MEET YOUR EXPECTATIONS, AND (V)
ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED
THROUGH THE USE OF THE REFERRAL KEY SERVICE IS DONE AT YOUR
OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE
FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT
RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
NO ADVICE OR INFORMATION, WHETHER ORAL OR
WRITTEN, OBTAINED BY YOU FROM REFERRAL KEY OR THROUGH OR
FROM THE REFERRAL KEY SERVICE SHALL CREATE ANY WARRANTY
NOT EXPRESSLY STATED IN THIS TERMS OF USE AGREEMENT.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION
OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF
LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY,
SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
The Terms of Use Agreement constitutes the entire agreement
between you and Referral Key and governs your use of the
Referral Key Service, superseding any prior agreements between
you and Referral Key.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT REFERRAL KEY SHALL
NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED
TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR
OTHER INTANGIBLE LOSSES (EVEN IF REFERRAL KEY HAS BEEN ADVISED
OF THE POSSIBILITY OF SUCH DAMAGES). SOME JURISDICTIONS
DO NOT ALLOW THE EXCLUSION OF THE LIMITATION OR EXCLUSION
OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY,
SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN NO
EVENT WILL REFRRAL KEY’S TOTAL CUMULATIVE DAMAGES
EXCEED US$ 100.
The Terms of Use Agreement between you and Referral Key,
Inc. will be governed by and construed in accordance with
the laws of the State of Massachusetts without regard to
conflict of laws principles.
